Terms of Use

These Terms of Use govern your access to and use of the Private Shoppers Club website and platform ("PSC", "we", "us", or "our"). PSC (ABN 70 808 613 128) is based in Adelaide, South Australia.

By accessing our website or signing up for early access, you agree to be bound by these terms. If you do not agree, please do not use our platform.

Private Shoppers Club is a commission-based referral platform that allows members ("Members") to share personalised promo codes with their personal networks. When someone makes a purchase using a Member's code, the Member earns a commission.

PSC is currently in pre-launch. By signing up for early access, you are expressing interest in joining the platform. You are not yet a registered Member, and no commissions are payable during this period.

By signing up for early access you agree that:

• You are 18 years of age or older
• The information you provide is accurate and truthful
• Your chosen promo code is reserved on a first-come, first-served basis and is not guaranteed until confirmed at launch
• PSC may contact you via email or SMS regarding your signup and our launch
• Signing up does not create a contractual obligation on either party

Once PSC launches, Members agree to:

• Only share products they genuinely recommend and have used or would use themselves
• Comply with Australian Consumer Law when making product claims or recommendations
• Disclose their affiliate relationship when sharing codes publicly, as required by the ACCC
• Not misrepresent products, pricing, or offers associated with their code
• Not engage in spam, unsolicited messaging, or misleading advertising
• Not attempt to manipulate or game the commission system

Commission rates, payment schedules, minimum thresholds, and eligible products will be confirmed at launch. The following general terms apply:

• Commissions are earned on completed, non-refunded orders placed using your code
• Commissions are subject to a return window clearing period before approval
• PSC reserves the right to withhold commissions where fraud, misuse, or a breach of these terms is suspected
• Commission structures may change with reasonable notice

• Each Member is assigned one personal promo code
• Codes may not be sold, transferred, or shared with another person for use as their own code
• PSC reserves the right to deactivate codes that are misused or breach these terms
• Code availability is not guaranteed until confirmed at launch

All content on privateshoppersclub.com.au — including text, images, logos, and design — is owned by or licensed to Private Shoppers Club. You may not reproduce, distribute, or use our content without written permission.

To the maximum extent permitted by Australian law, PSC is not liable for any indirect, incidental, or consequential loss arising from your use of the platform, including loss of earnings, data, or business opportunities.

Our total liability to you for any claim arising out of your use of PSC will not exceed the total commissions paid to you in the 3 months prior to the claim.

PSC may suspend or terminate your membership at any time if you breach these terms, engage in fraudulent activity, or if we reasonably believe your conduct is harmful to other Members or our partner stores.

You may cancel your membership at any time by contacting us at join@privateshoppersclub.com.au.

We may update these Terms of Use from time to time. We will notify Members of material changes by email. Continued use of the platform after changes take effect constitutes acceptance of the new terms.

These terms are governed by the laws of South Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of South Australia.
